These Terms and Conditions of Sale and Use (the “Terms”) govern your use of the website carissima.ca (the “website”) and your purchase of products from Carissima (“we”, “us”). By accessing the website or placing an order, you acknowledge that you have read and accepted these Terms. Please also review our Privacy Policy, which likewise governs your use of the Carissima.ca services and describes our personal-information practices.

Article 1 — General terms of sale

Customer contact information

Your contact information is the information you entered in the registration form and that appears in the confirmation email for your order (the “Order Summary”).

Purpose

Under this distance sales contract (the “contract”), the customer purchases the products detailed in the Order Summary.

Consideration

The cost of the sale is the amount shown in the Order Summary and is payable upon conclusion of this contract. Our website uses Shopify’s e-commerce solutions to manage online orders; certain consumer rights apply on this transactional website, which Carissima undertakes to respect. When you complete a transaction, you must provide payment information and will then be subject to the terms of use of that external payment method. Shopify supports payment methods such as Visa, Mastercard, American Express, PayPal, Apple Pay, Google Pay and Shop Pay.

Date

The contract is formed on the date and at the time we send you the Order Summary and these Terms at the email address you provided when registering on the website. That confirmation email will also indicate the expected time and place of receipt of your order.

Delivery charges

The charges for handling and delivering your order, if any, are those indicated in the Order Summary (including applicable taxes).

Risk of loss

When you purchase items on carissima.ca, the sale is subject to a shipment contract. Accordingly, the risk of loss and title to the items pass to you upon their delivery to the carrier.

Credit card and order confirmation

In order to purchase products displayed on the website, the customer may, at certain times, be required to enter certain information, including without limitation the information on the credit card used to pay for the order and the related billing details. By making a purchase, the customer agrees to pay all charges incurred by the customer or by users of the credit card in connection with the order placed, and accepts these Terms.

Restrictions and other customer obligations

Carissima reserves the right to refuse an order for any reasonable cause. In the event of a resale of products purchased on the website by the customer to a third party, the customer fully and unreservedly releases Carissima from any liability arising from the products sold. The customer further agrees to be bound by the website’s Privacy Policy; by accepting these Terms, the customer confirms that these policies were brought to the customer’s attention and that the customer has accepted them.

Safety

Some of the products offered on Carissima’s website present certain inherent safety risks if they are not assembled, installed or handled properly. The customer agrees to exercise care when assembling, installing and handling the products sold by Carissima, and to review all necessary documentation relating to the safe assembly, installation and use of the products. The customer further agrees to inform any other person who may assemble, install or use the products of the safety instructions provided by Carissima. The customer also agrees to comply with all laws applicable to the installation and use of the products sold by Carissima and to the context of that use.

Changes

Prices shown on the website are subject to change without notice. Carissima reserves the right to correct any error in the prices displayed on the website, and the customer acknowledges having reviewed the displayed prices at the time of accepting the contract.

Cancellation

The customer may cancel an order placed on Carissima’s website as long as the order has not yet shipped. If the order has shipped (including if it is in transit), the customer must refer to the Returns section below.

Returns

Unless otherwise indicated, products purchased on the website may be returned in accordance with our Return & Refund Policy, which sets out the applicable timeframes, any home trial, and the final-sale nature of custom and made-to-order products (including Build Your Own configurations). For any questions, write to support@carissima.ca.

Damaged product or order error

Every component of every product delivered is carefully checked and packaged before leaving Carissima’s warehouse. However, if the customer notices an error, or that a product or component is missing, the customer may:

A. Write to support@carissima.ca providing the following:

  • the part reference number;
  • a photograph of the damaged or defective part;
  • a description of the problem;
  • the order number; and
  • the delivery address.

Carissima will then send the customer the replacement part at no charge; or

B. Decline the replacement and refer to the Returns section above.

Limitation of warranties

SUBJECT TO THE MANDATORY WARRANTIES REQUIRED BY LAW, CARISSIMA MAKES NO REPRESENTATION OF ANY KIND AND GRANTS NO WARRANTY, IMPLIED OR EXPRESS, REGARDING MERCHANTABILITY, PRODUCT COLOUR, QUALITY, OR ANY PARTICULAR PURPOSE FOR WHICH AN ITEM MIGHT BE INTENDED. This limitation does not restrict the legal warranties that apply, nor any limited manufacturer’s warranty offered on our products, where applicable.

Article 2 — Delivery of products

Terms

Orders are shipped within Canada only.

Location

The carrier delivers to the location specified by the customer in the Order Summary (in front of the building) during the time window the customer selected from the periods proposed by Carissima (the “Delivery”).

Address error

Carissima is not responsible for orders that are undeliverable or not received because the recipient address provided by the customer is inaccurate.

Article 3 — Technical requirements for accessing the website

The website’s digital content is accessible using the latest versions of the Safari, Chrome, Firefox and Edge browsers. For an optimal shopping experience, Carissima recommends using browsers that best follow current web standards. As these are subject to various technological changes, Carissima cannot guarantee that such browsers will be compatible with the website at all times. In the event of incompatibility, Carissima will not be responsible for service interruptions resulting from such technological changes. In case of technical difficulty, the customer may contact Carissima at support@carissima.ca, but Carissima offers no warranty and is under no obligation to resolve the customer’s computer-equipment problems.

Article 4 — Secure information

The exchange of personal and confidential information (password, address, etc.) between the website and the customer’s browser is protected by Secure Sockets Layer (SSL) data-encryption technology, and stored data is protected by AES-256 encryption. In addition, the Shopify platform we use is PCI-DSS compliant. Carissima will make its best efforts to ensure that the personal and confidential data exchanged between the customer and the website is not fraudulently intercepted or altered.

Article 5 — Confidentiality of login credentials

Where applicable, the customer agrees to keep confidential the information provided to access the website (username and password) and not to disclose that information in any form to a third party.

Article 6 — Limited liability

Carissima will in no event be liable for errors in orders attributable to the characteristics and limitations of the customer’s internet network, in particular in the case of access-network interruptions, technical performance, and response times for viewing the website’s digital content. Because of the intrinsic characteristics of the internet, Carissima offers no warranty against the risks of diversion, intrusion, contamination or hacking of your data, files and programs. Furthermore, it is up to the customer to take all appropriate measures to protect the customer’s own data, files and programs, among other things to guard against computer viruses.

For the period during which the products are under Carissima’s control — that is, the period beginning with their manufacture and ending when they are taken in charge by the carrier for their initial Delivery — any breakage beyond Carissima’s control, or which Carissima took reasonable measures to guard against, affecting those products, will be deemed to result from force majeure for which Carissima cannot be held liable.

IN THE EVENT OF A BREACH BY CARISSIMA OF ITS OBLIGATIONS UNDER THIS CONTRACT, THE DAMAGES THAT MAY BE CLAIMED FROM IT BY THE CUSTOMER MAY NOT EXCEED THE TOTAL PRICE PAID BY THE CUSTOMER TO CARISSIMA FOR THE PRODUCTS TO WHICH THE CUSTOMER’S CLAIM RELATES. THIS LIMITATION WILL NOT APPLY, HOWEVER, IN THE CASE OF GROSS OR INTENTIONAL FAULT OR WHERE IT IS INCOMPATIBLE WITH PUBLIC-ORDER LAWS.

Article 7 — Governing law and jurisdiction

The contract is governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Any dispute between the parties arising from the contract will be submitted to the exclusive jurisdiction of the courts of the Province of Quebec. Before entering into the contract, the customer acknowledges having reviewed it and having found no error requiring correction, and further acknowledges having been expressly given the opportunity to accept or decline the offer. By making purchases from the website, the customer declares having accepted the contract. The customer declares being of the age required to contract in the jurisdiction in which the customer is located.

Article 8 — SMS

By subscribing by SMS, you agree to receive recurring automated and personalized promotional text messages (for example, cart reminders) at the mobile number used at sign-up. Consent is not a condition of purchase. Reply STOP to cancel. Message frequency varies. Message and data rates may apply.

Article 9 — Electronic communications

When you use the Carissima.ca services or send emails to Carissima, you are communicating with Carissima electronically. You therefore agree to receive electronic communications from us. Carissima will communicate with you by email or by posting notices on Carissima.ca or through the Carissima.ca services. You acknowledge that the agreements, notices and other communications we send you electronically satisfy any legal requirement that such communications be in writing.

Article 10 — Trademarks

The graphics, logos, page headers, icons, scripts and service names appearing in or made available through the Carissima.ca services are trademarks or trade dress of Carissima in Canada and in other countries. Carissima’s trademarks and trade dress may not be used in connection with any product or service that is not Carissima’s if such use is likely to cause confusion among customers or is likely to disparage or discredit Carissima. All other trademarks not owned by Carissima that appear on the Carissima.ca services are the property of their respective owners, who may or may not be affiliated with Carissima.

Article 11 — Licence and access

Provided that you comply with these Terms and pay all applicable charges, Carissima or its content suppliers grant you a limited, non-exclusive, non-transferable licence, with no right to sublicense, to access the Carissima.ca services and make personal, non-commercial use of them. This licence excludes: the resale or commercial use of the Carissima.ca services or their content; any use of product listings, descriptions or prices; any derivative use of the Carissima.ca services or their content; any downloading or copying of account information for the benefit of another merchant; and any use of data-mining, data-gathering or data-extraction tools. Carissima.ca and its licensors, suppliers, publishers, rights holders or other content providers retain and reserve all rights not expressly granted to you under these Terms. No portion of the Carissima.ca services may be reproduced, in whole or in part, copied, sold, resold, visited or otherwise exploited for any commercial purpose without Carissima’s express written permission. You may not frame any trademark, logo or other proprietary information (including graphic and text elements, page layout and forms) of Carissima without Carissima’s express written permission. You may not use meta tags or any other “hidden text” using Carissima.ca’s name or trademarks without Carissima’s express written permission. You must not misuse the Carissima.ca services. You may use the Carissima.ca services only in accordance with the law. The licences granted by Carissima will terminate if you fail to comply with these Terms.

Article 12 — Submissions and other content

You may submit suggestions, ideas, comments, questions and other information, provided the content is not illegal, obscene, threatening or defamatory, does not invade privacy, does not infringe intellectual-property rights, is not harmful to third parties or otherwise objectionable, does not consist of or contain software viruses, and does not contain political campaigning, commercial solicitation, chain letters, mass mailings, or any form of spam or unsolicited commercial electronic messages. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content.

If you submit content, unless indicated otherwise by Carissima, you grant Carissima the non-exclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, produce, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, communicate to the public by telecommunication and display such content anywhere in the world and on any medium. You grant Carissima and its assignees the right to use the name you submit in connection with such content, if they wish. You represent and warrant that you own or control all rights to the content you post; that this content is accurate; that use of the content provided does not violate these Terms and will not cause harm to any person or entity; and you agree to indemnify Carissima for any claim arising from the content you provide.

Article 13 — Products

Product availability

Carissima reserves the right, without notice or obligation, to discontinue or modify the features of the products and services offered on this website. Most products presented on this site are offered for sale online; availability may vary.

Product descriptions

Carissima strives to ensure the greatest possible accuracy on Carissima.ca. However, Carissima does not warrant that product descriptions or any other content of the Carissima.ca services are accurate, complete, reliable, current or error-free. If a product offered by Carissima.ca is not as described, your sole remedy is to return it in its original condition.

Product colour

The colours of the products presented on Carissima.ca have been reproduced as faithfully as possible. However, because displayed colours vary from one display device (such as a monitor) to another, Carissima cannot guarantee that the colours visible on your display device match the actual colours of the products.

Product prices

All prices displayed are in Canadian dollars, exclude taxes, delivery and assembly, and are valid only in Canada. Carissima reserves the right to change its retail prices at any time and without notice.

Article 14 — Site policies, changes and severability

Carissima reserves the right to make changes at any time to Carissima.ca, to its policies and to these Terms. If any of these conditions is found to be invalid, void or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of the remaining conditions.
